Terms of use

Effective:October 1, 2024

These Terms of Use apply to your use of 3m Zaki, along with any associated software applications and websites (all together, “Services”). These Terms form an agreement between you and Quant Things FZCO. (“The Company”, “we”, “our” or “us”).

Registration

Minimum age. To use our services, you must be at least 13 years old (or the minimum age of consent in your country). If you are under 18, you need permission from a parent or legal guardian.

Registration. When registering for an account, you must provide accurate and complete information. You are responsible for all activity on your account and cannot share your login details with others. Creating or using an account on behalf of someone else requires you to have the authority to accept these Terms for them.

Using the Services

What you can do. You may access and use our Services as long as you follow these Terms. This includes complying with all applicable laws and any additional documentation, guidelines, or policies we provide.

What you cannot do. Our Services cannot be used for any illegal, harmful, or abusive activities. This includes, but is not limited to:

  • * Infringing on Rights: Using our Services in any way that infringes upon, misappropriates, or violates anyone's rights.
  • * Unauthorized Distribution: Modifying, copying, leasing, selling, or distributing any part of our Services.
  • * Reverse Engineering: Attempting to or assisting anyone in reverse engineering, decompiling, or discovering the source code or underlying components of our Services (including models, algorithms, or systems), except where prohibited by law.
  • * Data Extraction: Automatically or programmatically extracting data or Output.
  • * Misrepresenting Output: Presenting Output as human-generated when it was not.
  • * Service Disruption: Interfering with or disrupting our Services, including circumventing rate limits, restrictions, protective measures, or safety mitigations in place.

Software. You may be able to download software through our Services, such as mobile applications. These may update automatically to provide you with the latest version. Our software may contain open source components, which are governed by their own licenses, made available to you.

Third party Services. Our Services may incorporate third party software, products, or services ("Third Party Services"). Features like browse function may include output from these services ("Third Party Output"). These Third Party Services and their Output are governed by their own terms and conditions, for which we are not responsible.

Content

Your content. When using our Services, you may provide input ("Input") and receive corresponding output ("Output"). Both Input and Output are collectively referred to as "Content." You are solely responsible for all Content, ensuring it complies with all applicable laws and these Terms. By providing Input, you confirm that you have all necessary rights, licenses, and permissions to do so.

Content ownership. To the fullest extent permitted by law, you retain ownership rights to your Input and own all Output generated from it. We assign to you any right, title, and interest we may have in and to the Output.

Content similarity of. Given the nature of generative artificial intelligence, the Output you receive might not be unique. Other users providing similar input may receive similar Output. Our assignment of rights to you does not cover Output received by other users or any Third Party Output.

Our use of content. We may use Content to develop, maintain, improve, and provide our Services. This includes complying with applicable laws, enforcing our terms and policies, and ensuring the safety of our Services.

Accuracy. Due to the inherent nature of machine learning and artificial intelligence, there might be instances where the Output doesn't accurately represent real people, places, or facts.

When using our Services, you acknowledge and agree to the following:

  • Output Accuracy: The Output provided may not always be accurate. Do not solely rely on it as a source of truth, factual information, or a replacement for professional advice.
  • User Responsibility: Before using or sharing any Output, it's your responsibility to evaluate its accuracy and appropriateness for your intended use case. This may involve human review.
  • Prohibited Uses: Output relating to individuals should not be used for decisions that could have legal or material consequences for them, such as credit, education, employment, housing, insurance, legal, medical, or other significant decisions.
  • Output Disclaimers: Our Services may generate incomplete, incorrect, or offensive Output. This Output does not represent the views of The Company. Any references to third-party products or services do not imply endorsement or affiliation with The Company.

Demo accounts

We may offer fully functional demo accounts for a limited trial period. Please note that these demo accounts will be automatically deleted after the trial period. You will receive at least 7 days' notice inside the application before the end of the trial. You are responsible for backing up any content you wish to keep before the end of the trial.

Paid accounts

Billing. When purchasing our Services, you must provide complete and accurate billing information, including a valid payment method. Paid subscriptions will be automatically charged to your payment method on each renewal date until you cancel. You are responsible for all applicable taxes, which will be added to your charges as required. If we are unable to process your payment, your account may be downgraded, or access to our Services may be suspended until payment is received.

Cancellation. You may cancel your paid subscription at any time. Please note that payments are non-refundable, except as required by law. These Terms do not supersede any mandatory local laws that may grant you additional cancellation rights.

Changes. Our pricing may be subject to change. If we decide to increase our subscription prices, you will receive at least 30 days' notice before the change takes effect. The new price will be applied to your next renewal, giving you the opportunity to cancel if you do not agree with the increase.

Termination

You are welcome to stop using our Services at any time. We reserve the right to suspend, terminate your access, or delete your account if we determine that:

  • You have violated these Terms or our Usage Policies.
  • We are required to do so to comply with applicable laws.
  • Your continued use of our Services poses a risk of harm to The Company, our users, or others.

Discontinuation of Services

While we strive to provide continuous service, we may, at our discretion, decide to discontinue our Services. In the event of such discontinuation, we will provide you with advance notice and issue a refund for any prepaid, unused Services.

Disclaimer of warranties

OUR SERVICES ARE PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES AND LICENSORS MAKE NO WARRANTIES OF ANY KIND (EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE) REGARDING THE SERVICES. THIS INCLUDES, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NON-INFRINGEMENT, QUIET ENJOYMENT, OR ANY WARRANTIES ARISING FROM COURSE OF DEALING OR TRADE USAGE. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ACCURATE, ERROR-FREE, OR THAT ANY CONTENT WILL BE SECURE, FREE FROM LOSS, OR ALTERATION.

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF ANY OUTPUT FROM OUR SERVICE IS ENTIRELY AT YOUR OWN RISK. YOU SHOULD NOT RELY ON THE OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, NOR SHOULD IT BE CONSIDERED A REPLACEMENT FOR PROFESSIONAL ADVICE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER WE NOR OUR AFFILIATES OR LICENSORS WILL BE RESPONSIBLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES. THIS INCLUDES, BUT IS NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR ANY OTHER LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC SERVICE THAT LED TO THE CLAIM DURING THE ONE-MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE LIABILITY. THESE LIMITATIONS APPLY ONLY TO THE FULLEST EXTENT ALLOWED BY LAW.

Indemnity

If you are using our Services on behalf of a business or organization, you agree, to the extent permitted by law, to indemnify and hold harmless The Company, our affiliates, and our personnel. This indemnification covers all costs, losses, liabilities, and expenses (including attorneys' fees) arising from third-party claims related to your use of the Services, Content, or any breach of these Terms.

General Terms

Assignment. You are not permitted to assign or transfer any of your rights or obligations under these Terms. Any attempt to do so will be considered null and void. We, however, retain the right to assign our rights or obligations under these Terms to any affiliate, subsidiary, or successor in interest of any business associated with our Services.

Changes to these Terms. We may make updates to these Terms or our Services as needed. These updates may be driven by various factors, including:

  • Legal and Regulatory Changes: Adjustments to comply with evolving laws and regulations.
  • Security and Safety: Enhancements to maintain or improve the security and safety of our Services.
  • Unforeseen Circumstances: Modifications in response to circumstances beyond our reasonable control.
  • Service Development: Improvements and updates made as part of our ongoing service development.
  • Technological Advancements: Adaptations to incorporate and leverage new technologies.

For any changes to these Terms that significantly and negatively impact your use of our Services, we will provide you with at least 30 days' advance notice. This notice will be delivered either via email or an in-product notification. All other changes will become effective immediately upon being posted to our website. If you do not agree with any changes made to these Terms, you must discontinue your use of our Services.

Enforcing these Terms. If we do not enforce a particular provision of these Terms, it does not mean that we waive our right to enforce that provision in the future. Should any portion of these Terms be deemed invalid or unenforceable, that specific portion will be enforced to the fullest extent permissible by law. The remaining portions of these Terms will remain in full force and effect.

Trade controls. You are responsible for complying with all applicable trade laws, including sanctions and export control regulations. Our Services may not be used in any way that benefits, or is exported or re-exported to, any individual or entity subject to prohibitions or restrictions under applicable laws. Furthermore, our Services cannot be used for any purpose prohibited by law. Your input must not contain any material or information requiring a government license for release or export.

Entire agreement. These Terms constitute the complete agreement between you and The Company regarding the Services. Except for any Service-specific terms that may apply, these Terms supersede any and all prior or contemporaneous agreements between you and The Company.
